Keystone Terms of Use

Thank you for your interest in Yanssie HK Limited (“we,” “our,” or “us”) and its affiliated companies and in the various services provided by us, including, but not limited to, our hardware wallet Keystone(“Products” or “Services” and, collectively, the “Keystone Products and Services”). Please read the following terms and conditions carefully. By accessing any of the Products or Services, you acknowledge that you have read, understood, and agree to be bound by the following terms and conditions and the Keystone Privacy Policy (together, these “Terms”). If you are not eligible or do not agree to any of the Terms, then you may not access the Products or Services.
1. Eligibility
You must be at least 18 years of age to access the Products or Services. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years of age; (b) you have not previously been suspended by the Products or Services; and (c) your access to the Products or Services is in compliance with all applicable laws and regulations. If you are accessing the Products or Services on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that organization to these Terms and you agree to be bound by these Terms on behalf of that organization.
2. Keystone Product & Services
Keystone hardware wallet allows users to:
- Randomly generate or import Recovery Phrase (“Mnemonics”, “Seed”, “Seed Words” or “Seed Phrase”)
- Generate wallet addresses for different cryptocurrencies
- receive cryptocurrencies from users of a dedicated blockchain network
- Interpret unsigned transactions or messages
- Sign transactions or messages with private keys corresponding to wallet addresses
- Send out signed data
- Set up passwords (pattern lock or fingerprints) to protect sensitive information
- Firmware update, etc.
The Keystone Products and Services operate as non-custodial services, which means that we do not store, nor do we have access to your cryptocurrencies nor your private keys. We can not initiate any sending or receiving of cryptocurrencies. Any cryptocurrency transfer occurs on blockchain networks and not on a network owned or controlled by Keystone.
The Keystone Products and Services are only capable of supporting certain cryptocurrencies. A non-exhaustive list of supported cryptocurrencies and compatible wallets is available here. This list is subject to variation.
3. No retrieval of Sensitive Information
The only existing backup is with you. Keystone does not have access to or store passwords, 24-word Recovery Phrase (“Mnemonics”, “Seed”, “Seed Words” or “Seed Phrase”), private keys, passphrases, or other credentials associated with your use of the Products and Services. We are not in a position to help you retrieve your credentials. You are solely responsible for remembering, storing, and keeping your credentials in a secure location, away from prying eyes. Any third party with knowledge of your 24-word Recovery Phrase or passwords can gain control of the private keys associated with your cryptocurrencies;
Keep your credentials safe. When you set your Keystone hardware wallet or HD Wallet up, you must: (a) create and remember a strong password that you do not use for any other service; (b) protect and keep your 24-word Recovery Phrase secure and confidential; (c) protect access to your Keystone hardware wallet or HD Wallet;
4. Risks
You are deemed to be fully aware of all the legal norms and technical constraints relating to the proof-of-stake and proof-of-work blockchains, and to the Products and Services. You acknowledge that you have been warned of the following associated risks:
[1] Regulatory changes
Blockchain technologies are subject to continuous regulatory changes and scrutiny around the world, including but not limited to anti-money laundering and financial regulations. You acknowledge that certain Products or Services, including their availability, could be impacted by one or more regulatory requirements.
[2] Tax
Transactions in cryptocurrency events, including but not limited to exchanges, air-drops, forks, and gains arising from staking, may be considered tax events according to the legislations under which you are subject to taxation. These rules may be unclear or subject to change, and you are therefore encouraged to consult your own tax or accounting adviser before doing cryptocurrencies events.
[3] Technology
Users understand that some of the technology supported or made available through the Products and Services are new, untested and outside of Keystone’s control. Advances in cryptography, or other technical advances such as the development of quantum computers, could present risks to blockchain networks which could result in the theft or loss of cryptocurrencies. Other adverse changes in market forces or in the technology, broadly construed, may prevent or compromise Keystone’s performance under these Terms.
[4] Cybersecurity
Hackers or other groups or organizations may attempt to interfere with Keystone’s products and information systems in several ways, including without limitation denial of service attacks, side-channel attacks, spoofing, smurfing, malware attacks, or consensus-based attacks.
There may be additional risks that we have not foreseen or identified in these Terms. Before you use our Products or Services, you are strongly encouraged to carefully assess whether your financial situation and risk tolerance is compatible with such use.
For the avoidance of doubt, and notwithstanding the generality of the Limitation of Liability section, you hereby agree that Keystone shall have no liability for any loss that incurs as a consequence of the risks highlighted in this section.
5. Limitation of Liability & Disclaimer of Warranties
You understand and agree that we have no control over, and no duty to take any action regarding: Failures, disruptions, errors, or delays in processing cryptocurrencies that you may experience while using the Products or Services; The risk of failure of hardware, software, and Internet connections; The risk of malicious software being introduced or found in the software underlying the Products or Services; The risk that third parties may obtain unauthorized access to information stored within the Products or Services, including, but not limited to your cryptocurrency address, private key, and recovery phrase; and The risk of unknown vulnerabilities in or unanticipated changes to the Blockchain Networks. You release us from all liability related to any losses, damages, or claims arising from: (a) user error such as forgotten passwords, incorrectly constructed transactions, or mistyped cryptocurrency addresses; (b) server failure or data loss; (c) unauthorized access to the Products or Services; (d) bugs or other errors in the Products or Services; and (e) any unauthorized third party activities, including, but not limited to, the use of viruses, phishing, brute forcing, or other means of attack against the Products or Services. We make no representations concerning any third party content contained in or accessed through our Products or Services. Any other terms, conditions, warranties, or representations associated with such content, are solely between you and such organizations and/or individuals.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR ANY OF OUR OFFICERS, DIRECTORS, REPRESENTATIVES, AGENTS, SERVANTS, COUNSEL, EMPLOYEES, CONSULTANTS, LAWYERS, AND OTHER PERSONNEL AUTHORIZED TO ACT, ACTING, OR PURPORTING TO ACT ON OUR BEHALF BE LIABLE TO YOU UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR ANY OTHER LEGAL OR EQUITABLE THEORY, FOR: (A) ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COMPENSATORY, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER RESULTING FROM: (I) YOUR USE OF, OR CONDUCT IN CONNECTION WITH, OUR SERVICES; (II) ANY UNAUTHORIZED USE OF YOUR WALLET ADDRESS AND/OR PRIVATE KEY DUE TO YOUR FAILURE TO MAINTAIN THE CONFIDENTIALITY OF YOUR WALLET; (III) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; OR (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT ARE FOUND IN THE PRODUCTS AND SERVICES OR THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY (REGARDLESS OF THE SOURCE OF ORIGINATION), OR (B) ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) THE FEES PAID TO US FOR THE APPLICABLE PRODUCTS OR SERVICES. THESE LIMITATIONS APPLY REGARDLESS OF LEGAL THEORY, WHETHER BASED ON TORT, STRICT LIABILITY, BREACH OF CONTRACT, BREACH OF WARRANTY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

KEYSTONE FREE PRODUCTS OR SERVICES (HARDWARE WALLET IS NOT INCLUDED) IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE SERVICES AND UNDERLYING SOFTWARE OR ANY CONTENT ON THE SERVICES, WHETHER PROVIDED OR OWNED BY US OR BY ANY THIRD PARTY, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, FREEDOM FROM COMPUTER VIRUS, AND ANY IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE IN TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. IN ADDITION, WE DO NOT REPRESENT OR WARRANT THAT THE CONTENT ACCESSIBLE VIA THE SERVICES IS ACCURATE, COMPLETE, AVAILABLE, CURRENT, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE FOREGOING DISCLAIMERS MAY NOT APPLY TO YOU. THIS PARAGRAPH GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE TO STATE.
6. Prohibited Conduct
By using the site you agree not to
- Access the Products or Services for any illegal purpose or in violation of any local, state, national, or international law;
- Conduct activities that may be harmful to others or that could damage Keystone‘s reputation;
- Interfere with security-related features of the Products or Services, such as reverse engineering or otherwise attempting to discover the source code of any portion of the Products or Services except to the extent that the activity is expressly permitted by applicable law;
- Interfere with the operation of the Products or Services, including by: (a) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (b) interfering with or disrupting any network, equipment, or server connected to or used to provide the Site, or violating any regulation, policy, or procedure of any such network, equipment, or server;
- Bypass any security or other features of the Products or Services designed to control the manner in which the Products or Services are used;
- Access the Products or Services in any manner to harass, abuse, stalk, threaten, defame or otherwise infringe or violate the rights of any other party.
7. Ownership & Proprietary Rights
The Products or Services are owned and operated by Yanssie HK Limited. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Products or Services (“Materials”) provided by Yanssie HK Limited are protected by intellectual property and other laws.
8. Indemnity
You are responsible for your access to the Products or Services. You will defend and indemnify Yanssie HK Limited and its officers, directors, employees, consultants, affiliates, subsidiaries and agents (together, the “Yanssie HK Limited Entities”) from and against every claim, liability, damage, loss, and expense, including reasonable attorneys' fees and costs, arising out of or in any way connected with: (a) your access to, use of, or alleged use of, the Products or Services; (b) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your violation of any third-party right, including any intellectual property right or publicity, confidentiality, other property, or privacy, right; or (d) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of that claim.
9. Discontinuance of Services
We may, in our sole discretion and without cost to you, with or without prior notice, and at any time, modify or discontinue, temporarily or permanently, any portion of our Services. You are solely responsible for storing outside of the Services a backup of the recovery phrase of your wallet. Maintaining an external backup of the recovery phrase associated with your wallet will allow you to access the cryptocurrencies upon which your wallet is secured. Such a backup will allow the user to fully restore their Wallet at any time without cost or loss of the user’s cryptocurrencies. If you do not maintain a backup of the recovery phrase outside of the Services, you will not be able to access the cryptocurrencies associated with your wallet. We shall not be held responsible or liable for any loss of cryptocurrencies in the event that we discontinue or depreciate the Services.
10. DISCLAIMERS
THE INFORMATION INCLUDED ON THE PRODUCTS OR SERVICES DOES NOT CONSTITUTE LEGAL, FINANCIAL OR INVESTMENT ADVICE AND IS NOT INTENDED AS A RECOMMENDATION FOR BUYING, TRADING OR SELLING CRYPTOCURRENCIES. IT IS RECOMMENDED TO SEEK ADVICE FROM LEGAL AND FINANCIAL EXPERTS BEFORE STARTING BUYING, TRADING OR SELLING CRYPTOCURRENCIES. YANSSIE HK LIMITED AND ALL OTHER COMPANIES MENTIONED ON THE PRODUCTS OR SERVICES WILL NOT BE RESPONSIBLE FOR THE CONSEQUENCES OF RELIANCE UPON ANY OPINION OR STATEMENT CONTAINED HEREIN OR FOR ANY OMISSION.
CRYPTOCURRENCIES ARE VOLATILE. YOU SHOULD BE FULLY AWARE OF THE LEVEL OF RISK INVOLVED BEFORE ENGAGING IN CRYPTO-RELATED ACTIVITIES. ANY LOSS OF DATA, CRYPTOCURRENCIES OR PROFIT IS YOUR SOLE RESPONSIBILITY.
PLEASE NOTE THAT YOU ARE SOLELY RESPONSIBLE FOR THE WAY YOU USE, STORE, AND BACKUP YOUR INFORMATION AND DATA RELATING TO YOUR CRYPTOCURRENCIES (BITCOINS, ETHEREUM, ETC.).
11. Governing Law and Dispute Resolution
This Policy is governed by the laws of the Hong Kong SAR without regard to conflict of law principles. If a lawsuit or court proceeding is permitted under this Policy, then you and Yanssie HK Limited agree to submit to the personal and exclusive jurisdiction of the courts located within Hong Kong SAR for the purpose of litigating any dispute.
You agree that any dispute you may have arising out of or related to your relationship with us must be filed within one year after such dispute arises, otherwise, your dispute is permanently barred.

13. Modification of these Terms
Keystone reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes.
